Pre-IPO Financing

For both USA and International Companies – Company-Level Debt Before a Public Offering

For $1MM (USD) to $5 Billion (USD) Pre-IPO Funding Requests

The network we have developed over the last 26 years is comprised of many Funders.

Pre-IPO Financing: A company preparing to go public often needs capital before the offering, to complete a project, build up assets or simply carry the business through a long IPO process. If the offering is delayed or comes in smaller than planned, that need can become urgent. Commercial Funding International, LLC ("CFI") helps companies secure pre-IPO financing through our network of Funders.

Please note: our pre-IPO financing is company-level and project-level funding. We do not provide loans to employees or shareholders against their pre-IPO stock or stock options.

  • Funding Amounts: $1MM to $5 Billion (USD) and larger; preference for $10MM and larger; $10MM minimum for projects outside the USA.
  • Geographic Area: USA and USA-friendly countries worldwide.
  • Project Types: Pre-IPO bridge loans, asset-based loans, project-level debt and equity for companies planning a public offering.
  • Typical Terms: 7.5% to 10%+ interest; 20 to 30 year amortization.
  • Leverage: Up to 75% senior debt; up to 90% combined with equity from our network.
  • Final Terms: Determined by project, loan amount and findings during formal underwriting.

Types of Pre-IPO Capital Available:

  • Pre-IPO Bridge Loans: Short-term capital until the offering or permanent financing is in place. See Bridge Loans.
  • Asset-Based Loans: Loans secured by real estate, equipment, receivables, contracts and other assets. See Asset-Based Loans.
  • Project-Level Debt: Debt for a specific plant, facility or development, sized to its future cash flow.
  • Mezzanine Financing: Subordinate capital to fill the gap between senior debt and equity.
  • Joint Venture Equity: Equity partners from our network for a specific project. See Joint Ventures.

When Pre-IPO Financing Makes Sense:

  • Funding a Project Now: Starting construction or an acquisition without waiting for a public market window.
  • IPO Delay: Keeping the business and its projects moving if the offering is postponed.
  • Smaller Raise Than Planned: Filling the gap if the IPO raises less than expected.
  • Stronger Position: Completing a project first, so the company goes public with more assets and cash flow.

What Our Funders Look For:

  • Clear Exit: A credible repayment plan, whether the IPO, a refinance or a sale.
  • Assets or Cash Flow: Collateral, contracts or a forecast of strong cash flow from future operations.
  • Financials: Current financial statements and projections.
  • Management: An experienced management team and a viable business plan.
  • Equity: Equity already invested or available in the company or project.

Whether it be an early-stage or an advanced project, the project needs to make sense. Our goal is to structure a deal that makes sense for everyone. For a deeper comparison, read our article IPO vs. Private Funding, and see Private Funding and Unique Capitalization.

Pre-IPO Financing FAQ

What is pre-IPO financing?
Pre-IPO financing is capital a company raises before its initial public offering, such as a bridge loan, asset-based loan or project-level debt, to fund the business or a project until the offering or permanent financing is in place.

Do you offer pre-IPO stock loans for employees?
No. Our pre-IPO financing is company-level and project-level funding. We do not lend to employees or shareholders against pre-IPO stock or stock options.

What size pre-IPO funding requests does CFI finance?
Our Funders consider requests from $1MM to $5 Billion (USD) and larger. We prefer projects of $10MM and larger, and the minimum for projects outside the USA is $10MM.

How is a pre-IPO loan repaid?
Funders want a clear exit, such as proceeds from the IPO, a refinance into permanent financing, or the sale of an asset. Our Funders can also factor in the cash flow from future operations.

What are typical terms for pre-IPO financing?
Terms are determined by the company, the loan amount, the collateral and findings during formal underwriting. Short-term bridge capital generally costs more than long-term project debt.
